Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of Evidash websites, applications, and related services (the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Eligibility and Accounts
You must be legally able to enter into a binding agreement to use the Services.
You are responsible for:
- providing accurate account information;
- maintaining confidentiality of credentials;
- all activity under your account.
You must promptly notify us of unauthorized access or suspected compromise.
Acceptable Use
You agree not to:
- use the Services in violation of applicable law;
- upload or transmit malicious code or harmful content;
- attempt unauthorized access, disruption, or reverse engineering (except where legally permitted);
- interfere with security controls or system integrity;
- misuse automated access in a way that degrades service performance.
Customer Data
As between you and Evidash, you retain rights to your uploaded data and materials (“Customer Data”).
You represent that you have rights and permissions to submit Customer Data and grant us rights needed to provide the Services.
Service Availability and Changes
We may modify, update, suspend, or discontinue parts of the Services at any time.
Where practical, we aim to provide advance notice for material changes. We do not guarantee uninterrupted or error-free operation.
Fees and Billing
Paid features may require a subscription or usage-based fees.
Unless otherwise agreed in writing:
- fees are due as stated at checkout or in your order form;
- late or failed payments may result in suspension;
- taxes may apply and are your responsibility except taxes based on our net income.
Intellectual Property
The Services, including software, content, branding, and documentation (excluding Customer Data), are owned by Evidash or its licensors and protected by law.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes.
Feedback
If you provide suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and only use it as necessary to perform under these Terms.
Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.
Our total liability arising out of or related to these Terms will not exceed the amounts paid by you to us for the Services in the 12 months preceding the event giving rise to liability.
Indemnification
You agree to defend, indemnify, and hold harmless Evidash and its affiliates from claims arising from your misuse of the Services, violation of these Terms, or infringement caused by your Customer Data.
Termination
You may stop using the Services at any time.
We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or create security/legal risk.
Sections that by nature should survive termination (including payment obligations, IP, disclaimers, liability limits, and confidentiality) will survive.
Governing Law
These Terms are governed by applicable law identified in your agreement with us, or if none is specified, by the law of our principal place of business, without regard to conflict-of-law principles.
Changes to These Terms
We may revise these Terms from time to time. Updated Terms are effective when posted unless otherwise stated.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
